Terms
of Service.
The agreement between you and Nomu Solutions when you use this website or engage us for work.

Heads up. This is a working draft prepared by the founder. It reflects how Nomu Solutions actually operates today, but it has not yet been reviewed by qualified UAE counsel.
For any signed engagement, the controlling document is the Statement of Work we issue and you countersign. These website terms govern visitors and pre-contract correspondence; the SoW supersedes them once signed.
1. About Nomu Solutions
Nomu Solutions is a sole-shareholder Free Zone Limited Liability Company registered in the Meydan Free Zone, Dubai, United Arab Emirates (“Nomu,” “we,” “us”). These Terms of Service (the “Terms”) govern your use of this website at nomusolutions.com and any engagement with us, except where superseded by a signed Statement of Work.
2. Acceptance of these terms
By accessing the website, submitting an inquiry form, subscribing to the newsletter, or engaging us for services, you confirm that you have read and accept these Terms. If you don’t accept them, please don’t use the site or contact us.
3. What we do
Nomu is a technology partner for businesses. We provide software engineering, AI integration, design, and strategic advisory services across five disciplines: AI & Automation, Custom Software, Tech Strategy, UI/UX Design, and Design Systems. The detailed scope of any specific engagement is defined in a Statement of Work (“SoW”), not on this website.
The website itself is informational. Submitting a form does not create a contract; we’re free to decline any engagement.
4. Engagements & contracts
Every engagement begins with a Statement of Work that sets out:
- Scope: deliverables, exclusions, assumptions.
- Timeline: milestones, dependencies, working hours.
- Fees: total, payment schedule, currency, expenses policy.
- Acceptance criteria: what “done” means.
- IP & license terms: see section 6.
- Change-control process: how scope changes are priced and approved.
The SoW takes precedence over these Terms in any conflict.
5. Fees & invoicing
- Fees are quoted in USD by default; we accept AED, EUR, and GBP on request.
- Invoices are typically structured as a deposit + milestone payments, payable by bank transfer (we don’t take card payments for engagements).
- Standard payment terms are net 14 from invoice date, unless the SoW says otherwise.
- Overdue invoices accrue interest at 1% per month (or the maximum permitted by UAE law, whichever is lower) and we may suspend work until paid.
- VAT (if applicable in your jurisdiction) and bank fees are your responsibility.
6. Intellectual property
Pre-existing IP
Each party retains ownership of any IP it brings to the engagement (your existing brand, codebase, content; our existing tools, internal templates, methodologies).
Deliverables
Upon final payment of all fees due under the SoW, we assign to you all rights, title, and interest in the bespoke deliverables created specifically for you (designs, code we wrote, documentation we produced).
Retained rights
We retain a non-exclusive, royalty-free right to:
- Reuse general knowledge, methods, and skills acquired during the engagement.
- Reuse generic, non-confidential code patterns, utility functions, and internal tools.
- Reference the engagement in our portfolio (subject to any NDA in place; we’ll always ask before publishing client names).
Third-party components
Open-source dependencies and third-party services we use remain governed by their respective licenses. We’ll list any commercial licenses you’ll need to maintain (fonts, libraries, hosting) in the SoW.
7. Confidentiality
By default, we treat all non-public information you share with us as confidential. That includes your strategy, codebase, customer data, financials, and anything else not already public. We won’t share it with third parties except as needed to perform the engagement (e.g., our processors listed in the Privacy Policy).
For sensitive engagements, we’ll sign a mutual NDA before substantive discussions. Use the “Need an NDA” checkbox on the contact form to flag this up front.
8. Warranties & disclaimers
We warrant that:
- Services will be performed with reasonable skill and care, by qualified professionals.
- Deliverables will substantially conform to the acceptance criteria in the SoW.
- To our knowledge, deliverables won’t infringe any third-party IP rights.
Other than these express warranties, the website and any informational content are provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of liability
To the maximum extent permitted by UAE law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, or business interruption), even if advised of the possibility.
- Our total aggregate liability arising out of or related to any engagement is capped at the fees actually paid by you to us under the relevant SoW in the 12 months preceding the claim.
- Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or anything else that cannot lawfully be limited.
10. Indemnity
You will defend and indemnify us against any third-party claim arising from (a) materials or instructions you supply to us, (b) your use of deliverables in violation of the SoW or applicable law, or (c) your business activities generally.
We will defend and indemnify you against any third-party claim that bespoke deliverables we created infringe a third party’s IP rights, subject to the liability cap in section 9.
11. Term & termination
- An engagement runs for the duration set out in the SoW.
- Either party may terminate for material breach if the other fails to cure within 14 days of written notice.
- You may terminate for convenience at any time on 14 days’ written notice; you’ll pay for work performed and unrecoverable costs incurred up to the termination date.
- Sections that by their nature should survive termination (IP, confidentiality, liability, indemnity, governing law) do so.
12. Use of this website
You agree not to:
- Use the site for any unlawful purpose, or in violation of these Terms or applicable law.
- Attempt to access non-public areas, accounts, or systems (e.g.
/admin,/api/admin/*). - Use bots, scrapers, or automated tools to abuse the contact form, newsletter signup, or any rate-limited endpoint.
- Reverse-engineer or attempt to extract source from the deployed site beyond what’s offered for inspection by your browser.
- Use the site’s content to train AI/ML models without our express written permission.
13. Governing law & disputes
These Terms are governed by the laws of the Dubai Free Zone in which Nomu is registered and, where not addressed, the federal laws of the United Arab Emirates.
Any dispute arising out of or in connection with these Terms shall first be raised in good faith between the parties and addressed by direct negotiation. If unresolved within 30 days, the dispute shall be referred to the courts of the relevant Free Zone or, where the parties have agreed, to arbitration under the DIAC Rules in Dubai (English language, single arbitrator).
Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.
14. General
- Entire agreement: these Terms and any signed SoW form the complete agreement and supersede prior negotiations on the same subject.
- Severability: if any provision is held unenforceable, the rest remains in effect.
- No waiver: failure to enforce any provision is not a waiver of future enforcement.
- Assignment: you may not assign your rights without our written consent. We may assign in connection with a sale of the business.
- Notices: any formal notice must be sent in writing to the email address on the contact page or the registered office address.
- Force majeure: neither party is liable for delays caused by events beyond reasonable control.
